        The reason that we look to invest in and acquire small businesses is simple, they are the backbone of our economy and we feel it is hugely wasteful and negative to our economy if these businesses just stop running once the owner retires.

        Our deals are always a mix of a chunk of cash on closing and the rest of the payments over time – this increases the value of the overall offer giving the seller more profit.

        We believe only a few are relevant to small business acquisitions today. In the most simplistic terms, we value businesses as a multiple of their cashflow. Much of the complexity involved is around what multiple we will use to value the business, this depends on the type of business, the industry, current market trends and more.

        There are a growing number of private buyers in the marketplace looking to acquire small businesses. This is largely due to a number of online training courses available to show people how to buy businesses. While it is a positive for sellers to have a larger pool of buyers, there are negatives.

        For example, many of the buyers do not have the experience necessary to run a business nor the correct team in place to support one or even to complete the transaction. Most poignantly, many do not have the financial capability to either purchase a business or raise any funding necessary to complete a deal. This is partly why you hear of sellers who have received an attractive offer from a buyer, but the deal fails to go through due to financing issues.

        When selling your business to a private buyer it is important that you can be comfortable with them and trust them enough to pass your business into their hands.

        If a buyer does not have a strong experienced team supporting them in a transaction, it is likely they will not be able to successfully complete a transaction. Another key aspect to any small business transaction is deferred payments, these likely extend from 2-5 years and form a large part of the total valuation.

        To business owners, selling their business often feels like a very personal experience, so it is important to pass your business onto a safe pair of hands!

        Selling to typical trade, corporate or private equity buyers will usually spell the end of your brand, your company identity and many of your staff. All they are really looking for is any Intellectual Property that you own and your customer base.

        As well as this, to protect their investment, private equity firms will look to ‘handcuff you to the desk’ for the next 3-5 years to make sure the business performs. So… If your looking to retire, then this clearly is not ideal! (if you have other concerns, we are open to discussing them and achieve the best solution possible.)

        Selling to a buyer who cares about your business means the following:

        Traditionally business owners first try to sell their businesses through brokers. Brokers will often say they “have a pool of active buyers looking for a business just like yours.” They will also say that “these buyers are willing to pay a premium”.

        The reality… Based on our industry knowledge and the feedback we have received from our clients, very often brokers do have access to a large pool of sellers – but many times business owners will find that any early offers they get will be nowhere near the valuation that the broker told them they would be able to achieve. More than likely the offers will be nowhere near what they would be comfortable selling their business for.

        After that it can be months, or even over a year before owners receive a serious offer for their business, whilst in the meantime dealing with a number of time-wasters and low-ballers. Due to the challenges sellers face only 1 in 12 businesses listed for sale actually sell!
